01

Budget for the location, not only the business

California costs can differ materially by county and city. Model rent, wage levels, workers’ compensation, insurance, permits, utilities and local taxes before deciding that the advertised cash flow meets your needs.

Review whether the seller owns a job inside the business. Replacing technical or production work can change normalized earnings and staffing requirements.

02

Understand agency on co-brokered listings

Many opportunities are marketed by another listing brokerage. Alexey may represent the buyer through Pellego, Inc. and coordinate with the listing broker, subject to written agency disclosures and representation documents.

The buyer should understand who represents whom before sharing strategy, pricing limits or other confidential information.

03

Verify the operating foundation

Due diligence should address tax returns, P&L statements, bank and merchant records, payroll, leases, permits, contracts, equipment, inventory and claims. For regulated businesses, confirm whether licenses transfer or require a new application.

A buyer’s CPA and attorney should lead their respective reviews. The broker organizes communication and transaction milestones.

04

Plan closing and transition

The final agreement should clearly address included assets, excluded liabilities, inventory, training, employee transition, lease, restrictive covenants and closing conditions. Escrow and licensing timing may be interdependent.

After closing, the transition plan should preserve customer, employee and vendor continuity while transferring systems, credentials and operational knowledge.

FAQ

Frequently asked questions

Does Alexey list every California business shown on Biz4Deal?

No. Some opportunities are listed by another brokerage. On those, Alexey may represent the buyer through Pellego, Inc. as documented.

Why is the address confidential?

Premature disclosure may affect employees, customers, vendors and the seller. Identifying details are commonly released only after an NDA and buyer review.

What should I verify in the lease?

Term, options, assignment rights, landlord consent, rent increases, deposits, permitted use and personal-guarantee requirements should be reviewed with counsel.

Can a California acquisition use SBA financing?

Possibly, if the buyer, business and transaction satisfy current lender and SBA requirements. Prequalification is not approval.
