How to Prepare a Business for Sale: A 12–24 Month Owner’s Checklist

Maximum value is usually created before a listing goes live. These five workstreams can improve clarity, transferability, and buyer confidence.

Start before you need an exit

Selling a business is a process, not a single event. Owners who wait until they are exhausted, facing a lease deadline, or experiencing declining performance often lose choices. Starting 12 to 24 months ahead creates time to correct weaknesses without signaling urgency to the market.

Preparation does not mean cosmetic packaging. It means making the company easier to verify, finance, operate, and transfer.

  • Identify the personal and financial goals behind the sale.
  • Keep operating performance stable while preparation is underway.

1. Clean and explain the financials

A buyer should be able to move from tax returns to internal statements without unexplained gaps. Assemble at least three years of P&L statements, balance sheets, tax returns, payroll reports, and material supporting schedules. Reconcile the records before a buyer discovers inconsistencies.

Prepare a clear normalization schedule for owner compensation, discretionary benefits, and unusual expenses. Do not create aggressive add-backs merely to increase SDE; weak adjustments damage trust.

2. Reduce dependence on the owner

A transferable company must function when the owner steps away. Document recurring processes, assign decision rights, train managers, and move key information from the owner’s memory into systems accessible to the company.

The objective is not to make the owner irrelevant. It is to demonstrate that customers, employees, and suppliers can transition without a sudden loss of operating knowledge.

  • Standard operating procedures for critical workflows
  • A current organization chart and role descriptions
  • Shared control of customer and vendor relationships
  • Documented passwords, systems, and reporting routines

3. Protect revenue and relationships

Buyers examine whether revenue can continue after closing. Review customer concentration, renewal patterns, backlog, pricing, and contract terms. Where appropriate, move important relationships into assignable written agreements and maintain an organized CRM history.

Avoid unusual discounting or short-term revenue tactics designed only to improve the last quarter. Sustainable quality of earnings matters more than a temporary spike.

  • Measure revenue concentration by customer and channel.
  • Review recurring-revenue and renewal terms.
  • Document pipeline, backlog, and customer history.
  • Address overdue receivables and disputed accounts.

4. Confirm that the business can transfer

A strong price is meaningless if the transaction cannot close. Review the lease, licenses, permits, supplier agreements, franchise documents, intellectual property, and change-of-control provisions with the appropriate professional advisers.

Identify consents and timing early. A landlord, regulator, franchisor, or vendor should not become a last-minute surprise.

  • Ownership of trademarks, domains, software, and content
  • Change-of-control clauses in material agreements
  • Equipment title, liens, and maintenance history

5. Present a business worth inheriting

Buyers inspect what customers can see. Update the website and Google Business Profile, address recurring complaints, maintain facilities and equipment, and protect team stability. The public reputation should match the financial story.

Continue running the company through closing. A decline after accepting an offer can change price, financing, or the buyer’s willingness to proceed.

1. Приведите финансы в порядок

Покупатель должен сопоставить налоговые декларации и внутреннюю отчётность без необъяснимых разрывов. Подготовьте не менее трёх лет P&L, balance sheets, tax returns, payroll и важных приложений. Расхождения лучше устранить до того, как их обнаружит покупатель.

Составьте понятный график нормализации прибыли. Не используйте агрессивные add-backs только ради увеличения SDE: слабые корректировки разрушают доверие.

2. Снизьте зависимость от собственника

Задача не в том, чтобы сделать владельца ненужным, а в том, чтобы обеспечить переход клиентов, сотрудников и поставщиков без потери операционных знаний.

3. Защитите выручку и отношения

Покупатель проверяет, сохранится ли выручка после закрытия. Проанализируйте концентрацию клиентов, продления, backlog, цены и договорные условия. Важные отношения желательно оформлять передаваемыми письменными соглашениями и сохранять историю в CRM.

Не создавайте искусственный краткосрочный рост скидками только ради последнего квартала. Устойчивое качество прибыли важнее временного скачка.

4. Проверьте передаваемость

Высокая цена не имеет смысла, если сделка не может закрыться. Вместе с профильными специалистами проверьте lease, лицензии, разрешения, договоры, franchise documents, интеллектуальную собственность и change-of-control условия.

Согласия и сроки нужно определить заранее. Landlord, regulator, franchisor или поставщик не должны стать неожиданностью в конце процесса.

Продолжайте управлять компанией до closing. Падение показателей после принятия предложения способно изменить цену, финансирование или готовность покупателя продолжать.
